Terms of service
The basis on which AGKS Holdings Ltd provides consultancy services. Last updated 25 October 2026.
1. Scope of services
We provide business operations and administrative management consultancy: process planning, administrative workflow optimisation, customer service process improvement, internal coordination and operational efficiency review.
Each engagement is defined in a written scope agreed before work starts. Work outside that scope is quoted separately and is not started without your written agreement.
Our services are advisory and documentary. We do not provide legal, tax, accounting, employment or regulated financial advice, and we do not act as an employment agency or an outsourced operations provider.
2. Orders and confirmation
An engagement begins when you confirm a written scope and we acknowledge it in writing. Where a purchase order or supplier form is required, it must be issued before the start date.
3. Fees and payment
Diagnostics are charged at a fixed fee stated in the scope. Project work is quoted per project. The retained adviser service is charged monthly in advance. All fees are stated exclusive of VAT where VAT applies.
Invoices are payable within 14 days of issue unless the scope states otherwise. Work may be paused where an invoice is more than 30 days overdue, after written notice.
4. Delivery
Sessions are delivered online. Documents are delivered as editable files. Indicative timings in a scope assume timely access to the people and information needed; delays in access move the delivery date accordingly.
Deliverables are prepared for your internal business use. Documents and templates produced during an engagement are included in the engagement fee and remain yours to use and edit within your organisation.
5. Cancellation, rescheduling and refunds
You may cancel an engagement in writing. Where cancellation occurs more than 10 working days before the start date, fees already paid for work not started are refunded in full. Within 10 working days, or after work has started, fees are payable for work performed up to the cancellation date and for any third-party costs committed.
Individual sessions may be rescheduled without charge with at least 2 working days' notice. Sessions missed without notice are counted as delivered.
If we cancel and cannot offer a reasonable alternative date, fees for work not performed are refunded.
6. Liability
We provide analysis and recommendations based on the information available during the engagement. Operational and commercial decisions remain yours. We do not guarantee any specific financial result, cost reduction or efficiency gain.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited by law. Subject to that, our total liability in connection with an engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential loss.
7. Confidentiality
We keep your business information confidential and use it only to deliver the engagement. We will sign your mutual NDA where required. This obligation continues after the engagement ends.
8. Intellectual property
Documents, maps, templates and reports created for you under a scope become yours on payment of the relevant invoice. Our underlying methods, frameworks and pre-existing materials remain ours.
9. Complaints
If something is not right, write to info@agksholdings.net with the engagement name and the issue. We acknowledge complaints within 3 working days and respond substantively within 10 working days. If we cannot resolve it between us, the dispute is governed by the law of England and Wales and the courts of England and Wales have jurisdiction.
10. Governing law
These terms are governed by the law of England and Wales. Nothing here affects statutory rights you have as a consumer where consumer law applies.
